TOBEX Terms of Use
Draft for publication review
Effective date: October 5, 2026
These Terms of Use (the “Terms”) govern access to and use of the TOBEX platform, websites, portals, applications, communications, and related services (collectively, “TOBEX”) operated by Tobex Global Logistics (“we,” “us,” or “our”).
TOBEX is intended for business-to-business commercial transportation and freight activity only. It is not a residential or household moving service.
By creating an account, accessing TOBEX, requesting transportation, accepting a quote, or otherwise using TOBEX, you agree to these Terms on behalf of yourself and, where applicable, the business or organization you represent.
1. Business eligibility and authority
You represent that you are using TOBEX for legitimate business purposes and that you have authority to act for the business or organization associated with your account. You must provide accurate, current, and complete registration, shipment, billing, and contact information.
You may not use a personal or residential account to obtain services that TOBEX designates as commercial or business-only transportation.
2. Account registration and security
A Shipper account may require a verified work email address and completion of the business profile before access to operational functions is granted. You are responsible for safeguarding account credentials and for activity performed through your account.
You must promptly notify us at info@tobexlogistics.com if you believe an account or credential has been compromised.
We may suspend or restrict an account when reasonably necessary to protect TOBEX, customers, carriers, payment systems, data, or platform integrity.
3. Transportation requests and quotes
Submitting shipment information or requesting a quote does not by itself create a binding transportation commitment. A shipment is accepted only when TOBEX confirms the applicable commercial terms and any required payment, deposit, authorization, or other booking condition has been satisfied.
Quotes may depend on information including origin and destination, freight characteristics, dimensions, weight, commodity, equipment, access conditions, timing, service level, waiting time, tolls, special handling, and other operational factors. You are responsible for providing accurate shipment information. Material changes may result in revised pricing, timing, or service availability.
4. Carriers and service providers
TOBEX may coordinate transportation using independent carriers, owner-operators, contractors, technology providers, payment providers, mapping providers, and other service partners. Unless expressly stated otherwise in a separate written agreement, these third parties are independent businesses and not employees of TOBEX.
Carrier selection, tendering, dispatch, tracking, and operational decisions may be supported by TOBEX technology and internal procedures.
5. Shipper responsibilities
You are responsible for ensuring that freight is lawful, properly described, appropriately packaged, ready for pickup, and suitable for the requested transportation service. You must disclose any special handling, dangerous goods, regulated products, temperature requirements, access restrictions, appointment requirements, or other material shipment conditions before booking.
You must not use TOBEX to transport prohibited, unlawful, stolen, misdeclared, or otherwise unauthorized goods.
6. Pricing, taxes, payment, and authorization
Prices are stated in the currency shown in the applicable quote or transaction. Applicable taxes, including HST where required, may be added to quoted amounts.
TOBEX may require payment, a deposit, a valid payment method, or other payment authorization before a shipment is confirmed, tendered, or dispatched. Failure to satisfy payment requirements may delay or prevent service.
Additional charges may apply when actual shipment conditions differ from the information supplied, including waiting, detention, accessorial services, re-delivery, address changes, additional handling, tolls, or other documented operational costs.
7. Cancellations and service changes
Cancellation, rescheduling, failed pickup, waiting, or other service-change charges may apply depending on the shipment status and costs already incurred. Specific commercial terms provided in a quote, order confirmation, rate confirmation, or other transaction document take priority over conflicting general language in these Terms for that transaction.
8. Tracking and estimated information
Tracking events, estimated pickup times, estimated delivery times, route information, and status notifications are operational aids and may depend on carrier, device, mapping, traffic, weather, facility, customs, shipper, receiver, or third-party information. Unless expressly guaranteed in writing, estimates are not guarantees.
9. Platform use restrictions
You may not:
• interfere with TOBEX security, authentication, access controls, or technical infrastructure;
• scrape, copy, reverse engineer, probe, overload, or misuse TOBEX except as permitted by law or written authorization;
• attempt to access another customer’s, carrier’s, or internal user’s data;
• submit false, fraudulent, misleading, or unlawful information;
• use TOBEX to violate transportation, trade, sanctions, customs, privacy, anti-spam, or other applicable laws; or
• use automated access in a way that disrupts or materially burdens TOBEX.
10. Intellectual property
TOBEX software, workflows, interfaces, branding, documentation, designs, content, and related intellectual property are owned by or licensed to us. Except for the limited right to use TOBEX for authorized business purposes, no intellectual property rights are transferred to you.
You retain ownership of information you submit, subject to the rights reasonably required for us to operate, secure, support, improve, and provide TOBEX and transportation-related services.
11. Electronic communications
You consent to receive operational communications related to your account, shipments, payments, security, support, and service activity by email, in-platform messaging, telephone, or other contact method you provide. Marketing communications are subject to applicable consent and unsubscribe requirements.
12. Third-party services
TOBEX may integrate with third-party services. Those services may be governed by their own terms and privacy practices. We are not responsible for third-party systems outside our reasonable control.
13. Availability and changes
We may update, improve, restrict, suspend, or discontinue platform functions from time to time. We do not guarantee uninterrupted or error-free availability, but we will use commercially reasonable efforts to operate TOBEX securely and reliably.
14. Disclaimers
Except to the extent prohibited by law or expressly agreed in writing, TOBEX and related technology are provided on an “as available” basis. We do not make warranties beyond those expressly stated in an applicable written agreement.
Nothing in these Terms excludes obligations or rights that cannot legally be excluded.
15. Limitation of liability
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential damages arising solely from use of the TOBEX software platform, except where such limitation is prohibited by law or superseded by a specific written transportation or commercial agreement.
Liability relating to a particular shipment may also be governed by an applicable transportation agreement, bill of lading, carrier tariff, rate confirmation, insurance arrangement, or other shipment-specific document.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless TOBEX and Tobex Global Logistics from third-party claims arising from your unlawful use of TOBEX, materially false shipment information, prohibited goods, infringement caused by content you submit, or material breach of these Terms.
17. Privacy
Our collection and use of personal information is described in the TOBEX Privacy Policy. The Privacy Policy forms part of the account-registration framework but is not incorporated in a way that limits statutory privacy rights.
18. Termination
You may stop using TOBEX at any time, subject to outstanding payment, shipment, contractual, record-retention, or legal obligations. We may suspend or terminate access for material breach, fraud, security risk, unlawful activity, non-payment, or other legitimate business or legal reasons.
19. Governing law
Unless a separate written agreement specifies otherwise, these Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Courts located in Ontario will have jurisdiction, subject to any mandatory legal rights or agreed dispute-resolution procedure.
20. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated or presented through TOBEX where reasonably required. The effective date at the top indicates the current version.
